The government is likely to recalibrate its retail foreign investment strategy, while simultaneously trying to bridge the political divide with allies and states.
Government sources said with neither the opposition nor the allies, Trinamool and DMK, objecting to 100 per cent FDI in single-brand retail approved by the cabinet, the commerce and industry ministry would work on a notification to operationalise the decision.

“Our understanding is we can work on rules for single-brand retail FDI. It is work in progress. But I don’t want to give a deadline,” said a government official, wiser after the Trinamool experience.

While a format for discussion with states and allies is still being worked upon, agreeing on a minority FDI threshold in multi-brand retail would help in building consensus, the sources said. “It makes a difference in politics when you say the Indian partner will hold majority stake and own the retail venture,” said a source.

This will still seem like a rollback, but will send a positive signal to investors. “49 per cent FDI is something the corporate sector and foreign players are not averse to. A 26 per cent cap will be meaningless, and not incentive enough for foreign retailers to invest in back-end infrastructure,” said another source.

Sources in the department of industrial policy and promotion that tabled the retail FDI proposal said direct FDI can remain capped at 49 per cent, yet foreign companies can invest more than their direct holding. For instance, a foreign retailer can invest 49 per cent stake in a multi-brand retail company. The balance 51 per cent in the retail company can be held by a joint venture owned and controlled by Indian residents, with a foreign entity holding a stake less than 50 per cent. Here the indirect FDI will not be counted while calculating the FDI cap.
